Terms of Service

Welcome to IdentityRecord. These Terms of Service (“Terms”) govern your access to and use of the IdentityRecord platform, website, APIs, and associated services (the “Service”), provided by IdentityRecord, Inc., a Delaware corporation (“IdentityRecord,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

1. The Service

IdentityRecord provides a platform for creating, verifying, and maintaining a structured business Identity Record designed to be read by AI engines. Features include Identity Advantage modules, the Identity Locker, AI telemetry, and related tools.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@identitydns.com of any unauthorized access.

3. Subscription, Billing, and Renewal

Paid plans (including Identity Advantage) are billed in advance on a recurring basis. By subscribing, you authorize us to charge your payment method on each renewal at the then-current rate. Payments are processed by Stripe. Subscriptions renew automatically until canceled. You may cancel at any time in your account settings; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.

4. Free Tier

Identity Records at the free tier are provided at no cost. We may change, limit, or discontinue free-tier features at our discretion, with reasonable notice where practical.

5. User Content and Accuracy

You are solely responsible for the accuracy, completeness, and legality of the information you submit to the Service, including business identity fields and Proof of Work data. You represent that you have the rights to submit that information. We may remove content that we reasonably believe is false, infringing, or in violation of these Terms.

6. License to User Content

You retain all rights to the content you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, process, display, and transmit your content as needed to provide and improve the Service, including publishing your Identity Record in machine-readable form on your public profile URL.

7. Acceptable Use

You agree not to:

Submit false, misleading, deceptive, or fraudulent business information.
Impersonate another person or business or claim a record you do not have authority to represent.
Interfere with or disrupt the Service, attempt to access accounts or data that are not yours, or probe systems for vulnerabilities without authorization.
Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Scrape, copy, or reverse engineer the Service except where permitted by law.

8. Intellectual Property

The Service, including its software, design, logos, and content (excluding your user content), is owned by IdentityRecord or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, trade names, or other brand assets.

9. Third-Party Services

The Service integrates with third-party providers (including Stripe, Twilio, Supabase, Google, Meta, Vercel, and Sentry). Your use of any third-party service is governed by that provider's own terms. We are not responsible for third-party services we do not control.

10. No Guarantee of AI Outcomes

IdentityRecord creates structured, verifiable information designed to be trustworthy to AI engines. We do not own or control third-party AI models (including those operated by OpenAI, Google, Anthropic, Microsoft, Meta, Perplexity, or others). We make no guarantee that any AI system will reference, rank, cite, or recommend your business, or that results will be consistent over time. AI systems change without notice.

11. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, IdentityRecord disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.

12. Limitation of Liability

To the maximum extent permitted by law, IdentityRecord, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost goodwill, or business interruption, arising out of or related to the Service, even if advised of the possibility of such damages. Our total cumulative liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid us in the twelve months preceding the claim or (b) one hundred US dollars ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless IdentityRecord from and against any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service, or your violation of these Terms or any applicable law.

14. Termination

We may suspend or terminate your account at any time for any violation of these Terms or any conduct we reasonably believe is harmful to IdentityRecord, other users, or third parties. You may terminate your account at any time by canceling your subscription and discontinuing use of the Service. Sections that by their nature should survive termination will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising from these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms with a new Effective Date. Material changes will be communicated through the Service or by email. Your continued use of the Service after an update constitutes acceptance of the updated Terms.
